Terms of Service
Effective 1 June 2026
Plain-language summary of how Scrapless works between you and us. These terms are a binding agreement — read them before using the service. If something here doesn’t make sense, email hello@scrapless.co.
1. Who we are
Scrapless (“Scrapless”, “we”, “us”) is operated by Scrapless Ltd, a company registered in England and Wales. The service is cut-optimisation software for workshops, joineries, fabricators, and panel-saw shops, accessible at app.scrapless.co.
2. Accounts
You sign up using Clerk, our authentication partner. You’re responsible for keeping your credentials secure and for any activity on your account. You must be at least 16 to register and have legal capacity to enter this agreement.
Workspaces can be personal or organisational. Inviting team members gives them access to that workspace’s data — manage members from the workspace switcher.
3. Subscription, trial, and billing
- New workspaces start on a 14-day Workshop trial. After the trial ends, accounts without an active subscription downgrade to the Free tier. Saved jobs and library data are preserved.
- Paid plans (Workshop, Studio, Shop) are billed monthly or annually in advance via Stripe. Enterprise pricing is bespoke.
- You can change plans, update card, or cancel at any time from Billing & plan → Manage subscription (Stripe Customer Portal).
- Cancellations take effect at the end of the current billing period. We don’t refund partial periods except where required by law.
- VAT is added at the rate applicable to your billing address; tax handling is managed by Stripe Tax.
4. Acceptable use
You may not:
- Use the service to process data you don’t have rights to.
- Reverse engineer, scrape, or attempt to extract the underlying optimisation engine.
- Share account credentials. Each workspace seat is a single user.
- Use the service in a way that interferes with other tenants — fair use limits apply and are enforced per-account.
- Submit jobs designed to overload the engine (e.g. millions of parts, infinite-loop part shapes).
5. Your content
Job inputs (parts lists, stocks, settings) and outputs (layouts, files) belong to you. We host them so you can use the service; we don’t claim ownership and don’t use them to train models or sell to third parties.
You grant us a limited licence to process this data solely to deliver the service — including sending it to our optimisation engine and storing generated files in S3 for retrieval.
6. Our software
The Scrapless application, branding, and the underlying CutGLib engine are licensed to you, not sold. You get a non-exclusive, non-transferable right to use them while your subscription is active. The engine is licensed from Stell Software AB; their terms apply to engine-specific behaviour.
7. File retention
- CNC files (DXF, PTX) are retained for 90 days on Workshop, then deleted. Studio and above retain DXF/SVG permanently; Shop and Enterprise retain all formats permanently.
- Job records and library data are retained for the lifetime of your workspace plus 30 days after cancellation.
8. Service availability
We aim for 99.5% uptime but don’t guarantee it. We may schedule maintenance with notice. Enterprise contracts can include bespoke SLAs.
9. Termination
You can close your workspace at any time from Settings; we can terminate or suspend accounts for breach of these terms with reasonable notice (immediately for serious breaches like abuse or non-payment).
10. Liability
Cut optimisation outputs are produced by the engine based on your inputs. You’re responsible for verifying that placements are correct before cutting material. We’re not liable for material waste, machine damage, or production losses caused by relying on our output without verification.
Our total liability for any claim is capped at the amount you paid in the 12 months preceding the claim. We exclude liability for indirect, consequential, or business-loss damages to the maximum extent allowed by law.
11. Changes to these terms
We may update these terms. Material changes will be flagged in-app and via email at least 30 days before they take effect. Continued use after the effective date counts as acceptance.
12. Governing law
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
